Supplementary Terms for Loyalty

1. GENERAL

1.1 In this document, "we", "our", "us", and "Yuko" refers to SV Tech Cloud Pte Ltd, a company incorporated in Singapore, and its related entities.

1.2 These Supplementary Terms should be read in conjunction with the Yuko Terms and Conditions or your Yuko Enterprise Service Agreement ("Your Yuko Agreement"), the Privacy Policy available at https://yuko.so/terms/privacy/, and the Data Processing Agreement available at https://yuko.so/terms/data-processing-agreement/.

1.3 "Merchant Loyalty Program" means any loyalty, rewards, points, or similar program that you operate through the Loyalty Features, including but not limited to:

(a) Points-based programs where customers earn points for purchases, reviews, referrals, or other activities;

(b) Tier-based programs with different membership levels and associated benefits;

(c) Cashback, store credit, or discount reward programs;

(d) Referral reward programs linked to loyalty programs;

(e) VIP or membership programs with exclusive benefits;

(f) Gamification programs with achievements, badges, or milestones;

(g) Any other customer retention, engagement, or reward initiatives operated through the Loyalty Features.

1.4 By using or accessing Yuko Loyalty Features ("Loyalty Features"), you ("you" or "Merchant") agree to these Supplementary Terms. If you do not agree to these Supplementary Terms, you must not use the Loyalty Features.

2. PLATFORM PROVIDER ROLE

2.1 Technology Platform Only: Yuko provides the Loyalty Features as a technology platform only. We do not operate, control, sponsor, or administer any Merchant Loyalty Program. The Loyalty Features are tools that enable you to create, configure, and manage your own loyalty programs.

2.2 Merchant Sole Responsibility: You acknowledge and agree that you are solely responsible for:

(a) The creation, design, configuration, operation, and administration of your Merchant Loyalty Program;

(b) All terms, conditions, rules, and policies governing your Merchant Loyalty Program;

(c) All communications, marketing materials, and disclosures to your customers regarding the Merchant Loyalty Program;

(d) The determination of point values, earning rates, redemption rates, and reward structures;

(e) The fulfillment of all rewards, benefits, discounts, and promotional offers made through your Merchant Loyalty Program;

(f) Customer service, support, and dispute resolution related to your Merchant Loyalty Program;

(g) All financial obligations and liabilities arising from your Merchant Loyalty Program.

2.3 Program Terms: You agree to create, maintain, and make available to your customers clear, accurate, and legally compliant terms and conditions for your Merchant Loyalty Program that will govern the relationship between you and your customers with respect to the program.

2.4 No Agency or Partnership: Nothing in these Supplementary Terms or your use of the Loyalty Features creates any agency, partnership, joint venture, or employment relationship between Yuko and you or your customers. Yuko is not a party to any loyalty program, reward, or benefit offered by you.

3. REGULATORY COMPLIANCE

3.1 General Compliance Obligation: You represent, warrant, and covenant that your Merchant Loyalty Program will comply with all applicable laws, regulations, regulatory guidelines, industry codes of practice, and platform terms in all relevant jurisdictions, including but not limited to:

(a) Consumer protection and fair trading laws;

(b) Advertising, marketing, and promotional regulations;

(c) Gift card, stored value, and prepaid instrument regulations;

(d) E-money and payment services regulations (where applicable);

(e) Competition, antitrust, and unfair business practices laws;

(f) Tax laws and regulations (including income tax implications of rewards);

(g) Anti-money laundering (AML) and counter-terrorism financing (CTF) laws;

(h) Data protection and privacy laws;

(i) Industry-specific loyalty program requirements and guidelines;

(j) E-commerce platform terms of service (Shopify, WooCommerce, etc.).

3.2 Program Requirements: You agree to ensure your Merchant Loyalty Program includes:

(a) Clear Disclosure: Clear, conspicuous, and accurate disclosure of all program terms, conditions, limitations, restrictions, and exclusions, including:

How points or rewards are earned;
Point or reward values and any conversion rates;
Redemption requirements, processes, and restrictions;
Expiration policies for points or rewards;
Program modification and termination provisions;
Any fees or costs associated with the program.

(b) Accurate Representation: Accurate representation of reward values, benefits, and redemption requirements without misleading or deceptive claims;

(c) Fair Administration: Fair, consistent, and non-discriminatory program administration across all participating customers;

(d) Unredeemed Rewards: Proper treatment of unredeemed rewards, expired points, or program balances as required by applicable law, including any escheatment or unclaimed property obligations;

(e) Customer Service: Adequate customer service, support channels, and dispute resolution procedures for program participants;

(f) Record Keeping: Accurate and complete records of all customer points, rewards, transactions, and redemptions.

3.3 Jurisdictional Compliance: You acknowledge and agree that:

(a) You are solely responsible for identifying and complying with all applicable laws, regulations, and guidelines in each jurisdiction where your Merchant Loyalty Program operates or where your customers are located;

(b) Different jurisdictions may have conflicting, overlapping, or additional requirements, and you must comply with the most stringent applicable requirements;

(c) You are solely responsible for obtaining any necessary legal, tax, or regulatory advice regarding the compliance of your Merchant Loyalty Program;

(d) Regulatory requirements may change over time, and you must monitor and adapt your program to such changes;

(e) Yuko does not provide legal, tax, or regulatory advice regarding loyalty programs.

3.4 Singapore-Specific Considerations: If your Merchant Loyalty Program operates in Singapore, you acknowledge that you may need to consider compliance with:

(a) The Consumer Protection (Fair Trading) Act;

(b) The Personal Data Protection Act 2012;

(c) Monetary Authority of Singapore (MAS) guidelines on e-money and stored value facilities (if applicable);

(d) Inland Revenue Authority of Singapore (IRAS) guidance on tax treatment of loyalty points and rewards.

4. MERCHANT OBLIGATIONS

4.1 Program Administration: You must:

(a) Maintain accurate, complete, and up-to-date records of all customer points, rewards, tier statuses, and redemption history;

(b) Honor all valid reward claims, redemption requests, and program commitments made to customers;

(c) Process redemptions and fulfill rewards in a timely manner as stated in your program terms;

(d) Provide adequate customer support, including responsive communication channels for program inquiries and complaints;

(e) Promptly address and resolve any customer disputes, complaints, or discrepancies related to your Merchant Loyalty Program;

(f) Notify customers of material changes to program terms with reasonable advance notice;

(g) Provide customers with the ability to check their points balance, transaction history, and reward status.

4.2 Prohibited Conduct: You must not:

(a) Make false, misleading, or deceptive representations about your Merchant Loyalty Program, including reward values, earning opportunities, or benefits;

(b) Modify point values, reward values, earning rates, or redemption rates retroactively to the detriment of customers without proper notice and, where required, consent;

(c) Expire points or forfeit rewards in violation of applicable laws or your stated program terms;

(d) Discriminate unfairly between customers in program administration, reward allocation, or benefit provision;

(e) Use the Loyalty Features to operate programs that constitute illegal gambling, lotteries, or games of chance (unless properly licensed);

(f) Use the Loyalty Features in any way that violates applicable laws, regulations, or platform terms;

(g) Impose unreasonable restrictions or conditions that effectively prevent customers from redeeming earned rewards;

(h) Fail to honor earned rewards upon program termination without providing reasonable alternatives or compensation.

4.3 Data and Records: You agree to:

(a) Maintain accurate records of all loyalty program transactions for the period required by applicable law;

(b) Provide customers with access to their transaction history and points balance upon request;

(c) Cooperate with any regulatory inquiries or audits related to your Merchant Loyalty Program;

(d) Ensure the security and confidentiality of customer loyalty program data.

5. PROGRAM CHANGES AND TERMINATION

5.1 Program Modifications: If you modify your Merchant Loyalty Program, you agree to:

(a) Provide customers with reasonable advance notice of material changes;

(b) Honor any points or rewards earned under the prior terms, subject to reasonable transition provisions;

(c) Comply with any applicable laws regarding program modifications;

(d) Update your program terms and communications to reflect the changes.

5.2 Program Termination: If you terminate your Merchant Loyalty Program, you agree to:

(a) Provide customers with reasonable advance notice of the termination;

(b) Provide customers with a reasonable period to redeem earned points or rewards;

(c) Honor or provide reasonable compensation for unredeemed points or rewards as required by applicable law;

(d) Comply with any applicable laws regarding program wind-down and unredeemed balances;

(e) Communicate clearly with customers about the termination process and their options.

5.3 Effect of Yuko Service Termination: If your Yuko subscription terminates:

(a) You remain solely responsible for all obligations to your customers under your Merchant Loyalty Program;

(b) You must fulfill all earned rewards and honor all program commitments;

(c) Yuko will provide you with an export of your loyalty program data as set forth in Your Yuko Agreement;

(d) Yuko has no obligation to customers under your Merchant Loyalty Program.

6. FINANCIAL RESPONSIBILITY

6.1 Sole Financial Responsibility: You acknowledge and agree that:

(a) You bear sole financial responsibility for all rewards, benefits, discounts, and other value provided under your Merchant Loyalty Program;

(b) Yuko has no financial obligation to fund, subsidise, or guarantee any rewards or benefits;

(c) You must maintain adequate financial resources to fulfill your program obligations;

(d) You are responsible for any tax obligations arising from your Merchant Loyalty Program.

6.2 Liability Reserves: You acknowledge that you may need to maintain appropriate financial reserves or accruals for outstanding loyalty points and unredeemed rewards, in accordance with applicable accounting standards and legal requirements.

7. INDEMNIFICATION

7.1 You agree to indemnify, defend, and hold harmless Yuko, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

(a) Your Merchant Loyalty Program, including its creation, operation, marketing, and termination;

(b) The terms, conditions, rules, or operation of your Merchant Loyalty Program;

(c) The fulfillment, non-fulfillment, or delayed fulfillment of any rewards, benefits, or promises under your Merchant Loyalty Program;

(d) Any customer disputes, complaints, claims, or legal actions regarding your Merchant Loyalty Program;

(e) Your breach of these Supplementary Terms or any applicable laws or regulations;

(f) Any representations, warranties, or guarantees you make about your Merchant Loyalty Program;

(g) Any tax obligations or liabilities arising from your Merchant Loyalty Program;

(h) Any regulatory enforcement action or investigation related to your Merchant Loyalty Program;

(i) Any claim that your Merchant Loyalty Program infringes the intellectual property rights of any third party.

8. DISCLAIMER OF WARRANTIES

8.1 THE LOYALTY FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

8.2 YUKO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

(a) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;

(b) WARRANTIES THAT THE LOYALTY FEATURES WILL MEET YOUR SPECIFIC REQUIREMENTS OR ACHIEVE ANY PARTICULAR RESULTS;

(c) WARRANTIES THAT THE LOYALTY FEATURES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;

(d) WARRANTIES REGARDING THE LEGAL COMPLIANCE OF YOUR MERCHANT LOYALTY PROGRAM IN ANY JURISDICTION.

8.3 YUKO DOES NOT WARRANT THAT YOUR USE OF THE LOYALTY FEATURES WILL COMPLY WITH APPLICABLE LAWS IN YOUR JURISDICTION. YOU ARE SOLELY RESPONSIBLE FOR ENSURING LEGAL COMPLIANCE.

9. LIMITATION OF LIABILITY

9.1 IN NO EVENT WILL YUKO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR MERCHANT LOYALTY PROGRAM OR YOUR USE OF THE LOYALTY FEATURES.

9.2 YUKO SHALL NOT BE LIABLE FOR ANY:

(a) Customer claims against you related to your Merchant Loyalty Program;

(b) Regulatory fines, penalties, or enforcement actions related to your Merchant Loyalty Program;

(c) Losses arising from the fulfillment or non-fulfillment of rewards;

(d) Tax liabilities arising from your Merchant Loyalty Program;

(e) Costs of winding down or terminating your Merchant Loyalty Program.

10. GOVERNING LAW AND DISPUTE RESOLUTION

10.1 These Supplementary Terms are governed by the laws set out in Your Yuko Agreement.

10.2 Any disputes arising out of or related to these Supplementary Terms will be resolved in accordance with the dispute resolution provisions of Your Yuko Agreement.

BY ENABLING OR USING THE LOYALTY FEATURES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THESE SUPPLEMENTARY TERMS, INCLUDING THE ASSUMPTION OF SOLE RESPONSIBILITY FOR YOUR MERCHANT LOYALTY PROGRAM AND THE INDEMNIFICATION OBLIGATIONS SET FORTH HEREIN.
