1.1 In this document, "we", "our", "us", and "Yuko" refers to SV Tech Cloud Pte Ltd, a company incorporated in Singapore, and its related entities.
1.2 These Supplementary Terms should be read in conjunction with the Yuko Terms and Conditions or your Yuko Enterprise Service Agreement ("Your Yuko Agreement"), the Privacy Policy available at https://yuko.so/terms/privacy/, and the Data Processing Agreement available at https://yuko.so/terms/data-processing-agreement/.
1.3 By using or accessing Yuko Third-Party Integrations ("Integrations"), you ("you" or "Merchant") agree to these Supplementary Terms. If you do not agree to these Supplementary Terms, you must not use the Integrations.
2.1 At your instruction, the Service may integrate with third-party platforms or service providers ("Third-Party Providers"), including but not limited to:
(a) E-commerce platforms (Shopify, WooCommerce, BigCommerce, Magento, etc.);
(b) Email marketing platforms (Klaviyo, Mailchimp, Omnisend, etc.);
(c) Customer data platforms and CRM systems (HubSpot, Salesforce, etc.);
(d) Social media platforms (Meta/Facebook, Instagram, TikTok, etc.);
(e) Analytics and advertising platforms (Google Analytics, Google Ads, Meta Ads, etc.);
(f) Payment processors and subscription management platforms;
(g) Customer support and helpdesk platforms;
(h) SMS and messaging platforms;
(i) Any other third-party service that Yuko may integrate with from time to time.
2.2 You authorise Yuko to transmit, transfer, and share any personal information, Content, and other data provided by you, or any End User, to Third-Party Providers:
(a) In accordance with your instructions and configuration settings within the Service;
(b) For the purposes of providing the Service and enabling the functionality of the Integrations;
(c) As necessary to operate the Reviews, Loyalty, Referral, and Membership features.
2.3 You acknowledge that enabling an Integration may require you to grant Yuko access to your accounts with Third-Party Providers through API keys, OAuth authentication, or other access mechanisms.
3.1 You acknowledge and agree that:
(a) Each Third-Party Provider is a separate and independent entity, operating under its own terms of service, privacy policies, and data processing practices;
(b) Yuko is not a party to any agreement or arrangement you may have with any Third-Party Provider;
(c) Yuko does not control, endorse, or assume any responsibility for the products, services, content, or practices of any Third-Party Provider;
(d) Third-Party Providers may modify, suspend, or discontinue their services or APIs at any time, which may affect the availability or functionality of Integrations.
3.2 Third-Party Providers are not bound by our Terms and Conditions, Privacy Policy, or Data Processing Agreement, and may:
(a) Collect, retain, and process data (including personal information) in ways that differ from or exceed the limitations provided by Yuko under Your Yuko Agreement;
(b) Transfer data to jurisdictions with different data protection standards;
(c) Use data for their own purposes as permitted by their terms and policies.
3.3 You are solely responsible for:
(a) Reviewing and complying with all terms of service, privacy policies, acceptable use policies, and other contractual obligations imposed by any Third-Party Provider with which you choose to integrate;
(b) Understanding how Third-Party Providers collect, use, store, and share data;
(c) Ensuring that your use of Integrations complies with applicable laws in all relevant jurisdictions.
4.1 International Data Transfers: You acknowledge that use of Integrations may involve transfers of data across international borders. By enabling an Integration, you consent to such transfers in compliance with applicable data protection laws and authorise Yuko to facilitate such transfers on your behalf.
4.2 Third-Party Providers as Independent Controllers: For the purposes of any applicable privacy or data protection laws (including, without limitation, the PDPA, GDPR, UK GDPR, and US State Privacy Laws), Third-Party Providers are not sub-processors of Yuko. When data is transferred to a Third-Party Provider pursuant to an Integration:
(a) The Third-Party Provider acts as an independent data controller (or equivalent) with respect to the data it receives;
(b) The Third-Party Provider's own privacy policy and data processing terms will govern its use of such data;
(c) Yuko's Data Processing Agreement does not extend to processing activities conducted by Third-Party Providers.
4.3 Consent and Legal Basis: You represent and warrant that:
(a) You have obtained and will maintain all necessary consents, authorisations, and legal bases from End Users and other data subjects required to facilitate the processing and transfer of data to Third-Party Providers;
(b) Your privacy policy accurately discloses the use of Integrations and the sharing of data with Third-Party Providers;
(c) You will promptly update your privacy practices and obtain additional consents if required by changes in law or Third-Party Provider requirements.
4.4 Data Minimisation: You agree to configure Integrations to share only the data reasonably necessary for the intended purpose and to regularly review and update your Integration settings.
5.1 Licensing to Third-Party Providers: You acknowledge that use of Integrations may involve licensing of your intellectual property, Content, and data to Third-Party Providers, and that:
(a) Yuko does not control the use, retention, modification, or treatment of your intellectual property once it has been transmitted to Third-Party Providers;
(b) Third-Party Providers may retain, use, or sublicense your Content in accordance with their own terms;
(c) You are responsible for reviewing Third-Party Provider terms to understand how your intellectual property may be used.
5.2 License to Yuko: You grant Yuko a non-exclusive, worldwide, royalty-free license to use, reproduce, transmit, display, and process any Content you provide through the Integrations solely for the purpose of:
(a) Facilitating the Integration services;
(b) Transmitting data to Third-Party Providers in accordance with your instructions;
(c) Providing, maintaining, and improving the Service.
5.3 Warranties: You represent and warrant that:
(a) You have all necessary rights, licenses, and permissions to use any intellectual property, Content, trademarks, or materials you provide through the Integrations;
(b) Such use will not infringe upon any third-party intellectual property rights, privacy rights, or other proprietary rights;
(c) You have the authority to grant the licenses contemplated by these Supplementary Terms.
6.1 No Guarantee of Availability: Yuko does not guarantee the availability, performance, or functionality of any Integration. Integrations may be affected by:
(a) Changes to Third-Party Provider APIs, services, or terms;
(b) Technical issues, maintenance, or outages at Third-Party Providers;
(c) Rate limits, usage restrictions, or access limitations imposed by Third-Party Providers;
(d) Yuko's decision to modify, suspend, or discontinue support for any Integration.
6.2 Modification and Discontinuation: Yuko may, at its sole discretion:
(a) Add, modify, or remove Integrations at any time;
(b) Change the features, functionality, or data shared through any Integration;
(c) Discontinue support for any Integration with reasonable notice where practicable.
6.3 Support Limitations: Yuko provides support for the Yuko side of Integrations only. For issues related to Third-Party Provider services, you must contact the Third-Party Provider directly.
7.1 Sole Responsibility: You agree that you bear sole responsibility for:
(a) Ensuring that your use of any Integration meets all applicable laws and regulatory requirements in any applicable jurisdiction;
(b) Configuring Integrations appropriately for your use case;
(c) Monitoring the performance and accuracy of data transmitted through Integrations;
(d) Any consequences arising from the use of Integrations by you or your End Users.
7.2 Indemnification: You agree to indemnify, defend, and hold harmless Yuko, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
(a) Your use of the Integrations;
(b) Your breach of these Supplementary Terms;
(c) Your breach of any agreement between you and a Third-Party Provider;
(d) Your violation of any applicable law or regulation;
(e) Any claim by a Third-Party Provider, End User, or other third party related to your use of Integrations;
(f) Any data breach, security incident, or privacy violation arising from or related to your use of Integrations.
7.3 Disclaimer of Warranties: TO THE FULLEST EXTENT PERMITTED BY LAW, YUKO DISCLAIMS ALL WARRANTIES RELATED TO THE INTEGRATIONS, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
(a) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
(b) WARRANTIES OF ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF DATA TRANSMITTED THROUGH INTEGRATIONS;
(c) WARRANTIES THAT INTEGRATIONS WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
(d) WARRANTIES REGARDING THE PERFORMANCE, AVAILABILITY, OR FUNCTIONALITY OF THIRD-PARTY PROVIDER SERVICES.
7.4 Limitation of Liability: IN NO EVENT WILL YUKO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE INTEGRATIONS OR YOUR USE THEREOF, INCLUDING BUT NOT LIMITED TO:
(a) Loss of data, revenue, profits, or business opportunities;
(b) Costs of procurement of substitute services;
(c) Damages arising from Third-Party Provider actions, omissions, or service failures;
(d) Damages arising from data transmitted to or processed by Third-Party Providers.
8.1 E-commerce Platform Integrations (Shopify, WooCommerce): When you integrate with e-commerce platforms:
(a) You must comply with the platform's partner program terms, API terms of use, and merchant agreements;
(b) You acknowledge that Yuko accesses your store data through platform APIs and that platform rate limits may affect functionality;
(c) You are responsible for maintaining your platform subscription and API access.
8.2 Email Marketing Integrations: When you integrate with email marketing platforms:
(a) You are solely responsible for compliance with anti-spam laws (including CAN-SPAM, CASL, and equivalent laws);
(b) You must ensure that data synced to email platforms is used in compliance with applicable consent requirements;
(c) You are responsible for managing unsubscribe requests across all platforms.
8.3 Social Media and Advertising Integrations: When you integrate with social media or advertising platforms:
(a) You must comply with platform advertising policies, community standards, and terms of service;
(b) You are responsible for the content and accuracy of any advertisements or posts created using data from the Service;
(c) You acknowledge that platforms may reject, modify, or remove content at their discretion.
8.4 Analytics Integrations: When you integrate with analytics platforms:
(a) You are responsible for providing required disclosures to End Users about analytics tracking;
(b) You must comply with platform terms regarding data collection, cookies, and tracking technologies;
(c) You acknowledge that analytics data may be subject to sampling, delays, or discrepancies.
9.1 These Supplementary Terms are governed by the laws set out in Your Yuko Agreement.
9.2 Any disputes arising out of or related to these Supplementary Terms will be resolved in accordance with the dispute resolution provisions of Your Yuko Agreement.

BY CLICKING "ENABLE", "CONNECT", OR USING ANY INTEGRATION, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THESE SUPPLEMENTARY TERMS, INCLUDING THE ASSUMPTION OF LIABILITY AND INDEMNIFICATION OBLIGATIONS SET FORTH HEREIN.
