End User Terms of Service

1. INTRODUCTION

1.1 These End User Terms of Service ("Terms") govern your use of the Yuko platform and services ("Service") when you interact with merchants who use Yuko to manage customer reviews, loyalty programs, referral systems, and membership features.

1.2 The Service is provided by SV Tech Cloud Pte Ltd, a company incorporated in Singapore ("Yuko", "we", "us", or "our").

1.3 In these Terms, "you" and "your" refer to you as an end user or customer who interacts with the Service, including by:

(a) Submitting product reviews, ratings, photos, videos, or other content;

(b) Participating in merchant loyalty programs;

(c) Making or receiving referrals;

(d) Enrolling in membership programs;

(e) Responding to review requests or surveys;

(f) Otherwise interacting with Yuko-powered features on merchant websites.

1.4 BY USING THE SERVICE, SUBMITTING CONTENT, OR PARTICIPATING IN ANY YUKO-POWERED FEATURES, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT USE THE SERVICE.

2. PLATFORM SERVICE PROVIDER

2.1 Technology Platform: Yuko provides technology and platform services to e-commerce merchants that enable customer reviews, loyalty programs, referrals, and membership management. Yuko is a technology provider, not a merchant.

2.2 Not a Seller: Yuko does not sell, offer for sale, or facilitate the sale of any products or services directly to you. All transactions, purchases, and commercial interactions are between you and the respective merchant.

2.3 Merchant Relationship: Your relationship with respect to purchases, returns, refunds, product issues, loyalty rewards, and membership benefits is with the merchant, not with Yuko. You should contact the merchant directly for any issues related to:

(a) Products or services purchased;

(b) Order fulfillment, shipping, or returns;

(c) Loyalty points, rewards, or redemptions;

(d) Referral rewards or bonuses;

(e) Membership benefits or subscriptions;

(f) Customer service or complaints.

2.4 Merchant Terms: Your use of merchant loyalty programs, referral programs, and membership programs is also subject to the terms and conditions established by each merchant. Yuko does not control merchant program terms.

3. ELIGIBILITY

3.1 To use the Service, you must:

(a) Be at least eighteen (18) years of age, or the age of majority in your jurisdiction;

(b) Have the legal capacity to enter into binding agreements;

(c) Not be prohibited from using the Service under applicable laws.

3.2 If you are under eighteen (18) years of age, you may only use the Service with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms.

3.3 By using the Service, you represent and warrant that you meet these eligibility requirements.

4. USER CONTENT

4.1 Content You Submit

When you submit reviews, ratings, photos, videos, comments, questions, or other materials through the Service ("User Content"), you agree to the following:

(a) Accuracy: Your User Content must be accurate, honest, and based on your genuine experience with the product or merchant;

(b) Ownership: You own or have the necessary rights to submit the User Content;

(c) No Infringement: Your User Content does not infringe any third-party intellectual property rights, privacy rights, or other rights;

(d) Lawful Content: Your User Content does not violate any applicable laws or regulations;

(e) Appropriate Content: Your User Content does not contain material that is defamatory, obscene, offensive, hateful, discriminatory, threatening, or otherwise objectionable.

4.2 License Grant

By submitting User Content through the Service, you grant:

(a) To Yuko: A non-exclusive, transferable, sublicensable, royalty-free, perpetual, worldwide license to use, copy, modify, display, distribute, and create derivative works from your User Content for the purpose of operating and providing the Service;

(b) To Merchants: A non-exclusive, transferable, sublicensable, royalty-free, perpetual, worldwide license to use, copy, display, and distribute your User Content in connection with their business, including on their website, marketing materials, social media, and advertising.

4.3 Content Moderation

(a) Yuko and merchants may, but are not obligated to, review, moderate, edit, or remove User Content at any time and for any reason;

(b) Yuko may use automated systems and manual review to moderate User Content;

(c) Removal of User Content does not affect the licenses previously granted.

4.4 Prohibited Content

You must not submit User Content that:

(a) Is false, misleading, or fraudulent;

(b) Is not based on your genuine experience;

(c) Is submitted in exchange for payment or incentives from the merchant (unless clearly disclosed);

(d) Contains personal information of others without their consent;

(e) Contains spam, advertising, or promotional material unrelated to a genuine review;

(f) Infringes any copyright, trademark, or other intellectual property rights;

(g) Contains malware, viruses, or harmful code;

(h) Is illegal, defamatory, obscene, harassing, or threatening;

(i) Impersonates another person or entity;

(j) Violates any applicable laws or these Terms.

4.5 Responsibility for Content

You are solely responsible for your User Content and the consequences of submitting it. Yuko does not endorse any User Content and assumes no liability for User Content submitted by you or others.

5. LOYALTY PROGRAMS

5.1 Merchant Programs: Loyalty programs available through the Service are created, operated, and administered by merchants, not by Yuko. Yuko provides the technology platform only.

5.2 Program Terms: Each merchant’s loyalty program is subject to the merchant’s own terms and conditions, including:

(a) How points or rewards are earned;

(b) Point values and conversion rates;

(c) Redemption requirements and restrictions;

(d) Expiration policies;

(e) Program modifications or termination.

5.3 No Yuko Liability: Yuko is not responsible for:

(a) The terms, conditions, or operation of any merchant loyalty program;

(b) The value, availability, or fulfillment of rewards;

(c) Any disputes between you and merchants regarding loyalty programs;

(d) Changes to or termination of merchant loyalty programs.

5.4 Contact Merchant: For any questions, issues, or disputes regarding loyalty programs, you must contact the merchant directly.

6. REFERRAL PROGRAMS

6.1 Merchant Programs: Referral programs available through the Service are created and administered by merchants.

6.2 Referral Rules: When participating in referral programs:

(a) You must comply with the merchant's referral program terms;

(b) You must only refer individuals who have consented to receive communications;

(c) You must not engage in spam, fraud, or misleading practices;

(d) You must not create fake accounts or self-refer.

6.3 Referral Rewards: Referral rewards are provided by merchants, not Yuko. Yuko is not responsible for the payment or fulfillment of referral rewards.

7. MEMBERSHIP PROGRAMS

7.1 Merchant Programs: Membership programs available through the Service are created and administered by merchants.

7.2 Membership Terms: Your membership is subject to the merchant’s membership terms, including pricing, benefits, renewal, and cancellation policies.

7.3 Billing: Membership fees and billing are handled by the merchant or their payment processors, not by Yuko.

8. PRIVACY AND DATA

8.1 Privacy Policy: Our collection and use of your personal information is governed by our End User Privacy Policy, available at https://yuko.so/terms/end-user-terms-of-service/.

8.2 Information Collection: When you use the Service, we may collect information such as:

(a) Name and email address;

(b) Review content, ratings, photos, and videos;

(c) Loyalty program activity and balances;

(d) Referral activity;

(e) Device and usage information;

(f) IP address and location data.

8.3 Information Sharing: We may share your information with:

(a) Merchants whose programs you participate in;

(b) Service providers who help us operate the Service;

(c) Third parties as required by law.

8.4 Merchant Privacy: Merchants may have their own privacy policies governing how they use your information. We encourage you to review merchant privacy policies.

8.5 Third-Party Information: If you provide information about other individuals (such as in a referral), you represent that you have their consent to share such information.

9. ACCOUNT SECURITY

9.1 If you create an account or use credentials to access loyalty, referral, or membership features:

(a) You are responsible for maintaining the confidentiality of your login credentials;

(b) You are responsible for all activity under your account;

(c) You must notify the merchant immediately of any unauthorized use;

(d) You must not share your account with others or allow others to access your account.

10. PROHIBITED CONDUCT

10.1 When using the Service, you must not:

(a) Violate any applicable laws or regulations;

(b) Infringe any third-party rights;

(c) Submit false, fraudulent, or misleading information;

(d) Attempt to manipulate reviews, ratings, or feedback systems;

(e) Use automated systems to access the Service without permission;

(f) Interfere with or disrupt the Service or servers;

(g) Attempt to gain unauthorized access to any part of the Service;

(h) Transmit viruses, malware, or harmful code;

(i) Harvest or collect information about other users;

(j) Use the Service for any unlawful or fraudulent purpose;

(k) Impersonate any person or entity;

(l) Engage in any activity that could harm Yuko, merchants, or other users.

11. INTELLECTUAL PROPERTY

11.1 Yuko Property: The Service, including all software, designs, text, graphics, logos, and other materials, is owned by Yuko or its licensors and is protected by intellectual property laws.

11.2 Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

11.3 Restrictions: You must not:

(a) Copy, modify, or distribute any part of the Service;

(b) Reverse engineer, decompile, or disassemble the Service;

(c) Remove any copyright or proprietary notices;

(d) Use Yuko's trademarks without permission;

(e) Use the Service for any commercial purpose without authorization.

11.4 User Content Ownership: You retain ownership of your User Content, subject to the licenses granted in Section 4.

12. DISCLAIMERS

12.1 AS-IS SERVICE: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

12.2 NO WARRANTIES: TO THE MAXIMUM EXTENT PERMITTED BY LAW, YUKO DISCLAIMS ALL WARRANTIES, INCLUDING:

(a) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;

(b) WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;

(c) WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY CONTENT;

(d) WARRANTIES REGARDING MERCHANT PRODUCTS, SERVICES, OR PROGRAMS.

12.3 Third-Party Content: Yuko does not endorse and is not responsible for any User Content, merchant content, or third-party content available through the Service.

12.4 Merchant Responsibility: Yuko is not responsible for merchant products, services, loyalty programs, referral programs, membership programs, or any merchant conduct.

13. LIMITATION OF LIABILITY

13.1 EXCLUSION OF DAMAGES: TO THE MAXIMUM EXTENT PERMITTED BY LAW, YUKO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

(a) LOSS OF PROFITS, DATA, OR GOODWILL;

(b) SERVICE INTERRUPTION OR COMPUTER DAMAGE;

(c) DAMAGES ARISING FROM YOUR USE OF THE SERVICE;

(d) DAMAGES ARISING FROM USER CONTENT;

(e) DAMAGES ARISING FROM MERCHANT PROGRAMS OR CONDUCT.

13.2 LIABILITY CAP: TO THE MAXIMUM EXTENT PERMITTED BY LAW, YUKO’S TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED SINGAPORE DOLLARS (SGD 100.00).

13.3 BASIS OF BARGAIN: THE LIMITATIONS IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL BASIS OF THE AGREEMENT.

14. INDEMNIFICATION

14.1 You agree to indemnify, defend, and hold harmless Yuko, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

(a) Your use of the Service;

(b) Your User Content;

(c) Your violation of these Terms;

(d) Your violation of any third-party rights;

(e) Your violation of any applicable laws.

15. TERMINATION

15.1 Termination by Yuko: Yuko may, at its sole discretion, suspend or terminate your access to the Service at any time, with or without cause, and with or without notice.

15.2 Grounds for Termination: Yuko may terminate your access if:

(a) You breach these Terms;

(b) Your conduct may harm Yuko, merchants, or other users;

(c) We are required to do so by law;

(d) We discontinue the Service.

15.3 Effect of Termination: Upon termination:

(a) Your right to use the Service ceases;

(b) Licenses granted by you in Section 4 survive termination;

(c) Sections 4, 11, 12, 13, 14, 16, and 17 survive termination.

16. DISPUTE RESOLUTION

16.1 Governing Law: These Terms are governed by the laws of the Republic of Singapore.

16.2 Arbitration: Any dispute arising from these Terms shall be resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules. The arbitration shall be conducted in English in Singapore by one arbitrator.

16.3 No Class Actions: YOU AGREE THAT ANY CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

16.4 Waiver of Jury Trial: TO THE EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO A JURY TRIAL.

17. GENERAL PROVISIONS

17.1 Entire Agreement: These Terms constitute the entire agreement between you and Yuko regarding the Service.

17.2 Severability: If any provision is held invalid, the remaining provisions continue in effect.

17.3 Waiver: Failure to enforce any right is not a waiver of that right.

17.4 Assignment: You may not assign these Terms. Yuko may assign these Terms without restriction.

17.5 Modifications: Yuko may modify these Terms at any time by posting updated Terms. Your continued use constitutes acceptance of the modified Terms.
